Flow of Incorporation Procedures

Determination of company profile

There are various types of corporations, including for-profit and non-profit corporations. A corporation is a representative example of a for-profit corporation, while a well-known non-profit corporation is a non-profit organization. First, you need to decide which type of corporation best suits your purposes. Each has its own advantages and disadvantages in terms of operation and taxes.

Next, we describe the establishment of a joint stock company. (I’ll skip the description of a limited liability company)

Preparation and certification of articles of incorporation

Articles of Incorporation are a summary of the contents of the company. For a joint stock company, the articles of incorporation must be certified by a notary public. The costs and procedures vary depending on the type of company. The Articles of Incorporation contain certain information depending on the rules of the company.

Payment of investment

Although capital contribution can be as little as 1 yen (for Japanese companies) , it is related to the credibility of business partners and financial institutions.
If the capital is set at 10 million yen or more, you may be at a disadvantage in that you will not be exempt from consumption tax.
In the case of a company that obtains licenses and permits, there may be financial requirements, so it is necessary to pay attention to these points when deciding on capitalization.

Registration of incorporation at the Legal Affairs Bureau

The application for registration is filed with the Legal Affairs Bureau, together with the articles of incorporation, certificate of payment of capital contribution, and the directors’ letters of consent to assume office, and other necessary documents. The application is filed by the applicant or a judicial scrivener. Once the registration is completed, you will be able to obtain a certificate of registered matters, a seal registration certificate, a seal registration card, etc.

It costs approximately 500,000 to 800,000 yen including registration fee and remuneration.
